Terms and Conditions:
1. Nature of Agreement
These terms and conditions (the “Conditions”) shall represent a legally binding contract between the client (the “Client” or “you”) and TOUCH ALTERNATIVE HEALTH LIMITED, company number 4532474, whose registered office is at 47 Gerrard Street, London W1D 5QT (the “Agency, “us” or “we”), upon your acceptance. If you click the “I Accept” button at the foot of the Conditions, you will be confirming your acceptance of the Conditions to the exclusion of all other terms and conditions including any put forward by you. The term “Services” means Complimentary and Alternative Medicine services, including beauty and lifestyle guidance services, alternative health and relaxation treatments. The term “Practitioner” means a person introduced by the Agency for the provision of Services to you. The term “Booking” means an appointment for the Practitioner to provide Services to you. The Conditions will apply to all introductions of Practitioners to the Client for any Bookings, now and in the future.
2. Payment
Following acceptance by the Client of the Conditions, the Client will be charged a Fee for each Booking as per the Fee Sheet [link to fee page] on this website which may be amended by the Agency from time to time, payable either by credit card or by cheque. Credit card payment shall be made through the Netshopper [link to appropriate site] payment service, debited at the time of making the Booking through this website, and receipt for the payment will be sent to the Client. Payment by cheque will have to be sent at least 2 weeks before the proposed appointment in order to allow time for the cheque to be processed.
 
3. Bookings, Cancellations and Alterations

3.1 The Client must notify the Agency at least [five] days prior to the date they require a Booking, as we may not be able to supply a Practitioner on shorter notice.

3.2 All requests for Bookings must be made through the Agency. No arrangements are to be made between the Client and Practitioner direct[, and an additional £50 shall be payable on any arrangements made this way].

3.3 If for any reason the Agency cancels your Booking you will be given a full refund. If you wish to cancel a Booking you must give us at least [one clear business day] notice in order to receive a full refund, failing which you will not receive any refund, as the Fee will be required to cover our costs and expenses relating to the late cancellation.

3.4 Any request to change the time or date of the Booking must be made at least [one clear business day] before the initially requested appointment, failing which it will be treated as a late cancellation and no refund will be payable. If sufficient notice of the request is given then the Agency will use all reasonable endeavours to accommodate the requested changed Booking, although it may not always be possible, in which case the parties shall both endeavour to agree a convenient time. No additional fee shall be charged to re-arrange a Booking, but no refund will be made if the Client does not accept any new Booking.

4. Practitioner Status and Conduct

4.1 The Practitioners are not employees of the Agency or of the Client, as they are engaged on a self-employed basis (although no warranty is given as to this).

4.2 All of the Practitioners placed by the Agency are legally responsible for their own Tax and National Insurance payments, and the Client shall fully indemnify the Agency against all costs losses or damages arising from any claim by the Practitioner for compensation or by the tax authorities for tax or national insurance. All of the Practitioners should carry their own insurance, and whilst the Agency will use all reasonable endeavours to check that no Practitioner will be placed unless he/she has insurance in place, we would recommend that you verify this fact yourself, as we will not accept any liability for such insurance not being in place, or being insufficient, or invalidated or in any way inadequate.

4.3 If the Practitioner commits any act of misconduct including (but not limited to), a serious wrong-doing, negligence, dishonesty, serious acts of insubordination, a criminal offence relevant to their work, malicious damage to the Client’s property, wilful disregard of duties or of instructions, failure to comply with relevant statutory or regulatory requirements, violent, abusive or intimidating conduct, attending work under the influence of alcohol or non-medically prescribed drugs during placement, the Client may report such conduct to the Agency, who may in their absolute discretion remove the Practitioner from their register.

5. Confidentiality
All communication, whether written or verbal shall be confidential between the parties. Should the Client pass on any information including, inter alia, contact details of the Practitioner, or recommend a Practitioner to a third party resulting in a booking then the Client will be liable for the relevant full fee as if the booking had been made by the Client and the Conditions shall apply accordingly.
6. Agency’s Obligations
The Agency endeavours to provide the Client with only the most suitable Practitioners, all of whom will be formally qualified or suitably experienced, or any other person whom the Agency deems suitable to provide the Services. Each Practitioner will be [interviewed [in person] by the Agency and all of the relevant employment checks will be carried out] prior to recommending a Practitioner to a Client. However, the final decision to take on a Practitioner for a session of the Services will be the sole responsibility of the Client and the Agency does not accept any liability for any kind of inconvenience, loss or damage howsoever arising and whether caused directly or indirectly from an act or omission of a Practitioner introduced by the Agency. Similarly no warranty is offered in respect of the suitability, honestly, competence, capability, availability or character of any Practitioner introduced by the Agency.
7. Client’s Obligations
The Client shall fully indemnify the Agency from and against any and all loss damage or liability (whether criminal or civil) suffered and legal fees, expenses and costs incurred by the Agency resulting from a breach of the Conditions by the Client or any of his / her negligent acts or omissions. Nothing in the Conditions shall affect the statutory rights of a consumer, nor limit the Agency’s liability for death or personal injury caused by its negligence.
8. General

8.1 The failure of either party to insist on the performance of any provision of the Conditions shall not act as a waiver or relinquishment of that party’s rights to future performance of such provision.

8.2 The Conditions shall be governed by English Law and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
